Terms of service

Last updated 2026-10-16

These terms govern your use of Zindex - the API, the MCP server, the dashboard, the playground, and every surface at zindex.ai. By signing up or using the service, you agree to them.

The privacy commitments live in our Privacy Policy. These terms cover the contractual rules of engagement.

1. Accounts

You need an account to use the persisted-scene features (creating, editing, rendering scenes by ID, listing revisions). You're responsible for keeping your password secure and for activity that happens under your account or API keys, including what your keys and connected apps do in a team workspace. Tell us at [email protected] as soon as you suspect unauthorized access.

Account creation requires a working email address and email verification before write endpoints unlock. An account whose email isn't verified within 7 days of sign-up is deleted, with anything saved in it. A free account unused for 12 months is deleted the same way, after two email warnings, as Section 7 of the Privacy Policy describes. You may close your account at any time from Settings → Account, unless you are the last owner of a team workspace with other people in it; closure is final, immediate, and irreversible from our side.

A team workspace's owners control it for their organization. They decide who can join, can remove anyone, and can delete the workspace with its diagrams. What you save in a team workspace stays with the workspace when you leave it.

2. Plans and billing

Three plans are available: Free, Pro and Team. Plans and prices are described on the pricing page, and limits and rate limits in the limits documentation. Pro and Team are billed monthly or yearly in advance via Stripe. A workspace's owner can change or cancel its plan at any time from Settings → Billing.

Team is billed per paid seat. Each owner and member of a team workspace is a seat, with at least two seats per workspace; viewers and agents are free. Adding a seat is charged at once for the rest of the billing period. Removing one leaves a credit for the workspace's later invoices, which we don't pay out in cash. An owner pays through Stripe, and any owner can change or cancel the subscription.

Cancellation takes effect at the end of the current billing period. We do not refund the unused portion of a billing period for self-service cancellations. Custom refund requests for unusual circumstances go through [email protected] for operator discretion. Deleting a team workspace cancels its subscription at once, with no refund for the rest of the period.

3. Acceptable use

You agree not to:

  • Use the service to break the law or violate someone else's rights.
  • Attempt to circumvent rate limits, billing, or access controls.
  • Reverse-engineer, decompile, or attempt to extract the source code of the rendering engine or any other component beyond what is publicly available.
  • Use the service to send spam, phishing, malware, or otherwise abusive content.
  • Probe, scan, or test the vulnerability of any system or network without prior written authorization.
  • Resell or sub-license access to the service without a written agreement.

We reserve the right to suspend or close accounts that violate these terms. For repeated or egregious violations we will close without notice.

4. Content ownership

You own the diagrams, scenes, and other content you create on Zindex, except content in a team workspace, which belongs to the organization that controls the workspace. We make no claim to your content. The Privacy Policy describes how that content is stored and protected.

You grant us the limited license required to host, render, validate, store, and back up your content for the purpose of providing the service. This license terminates when the content is deleted, or, for content in your personal workspace, when you close your account.

5. Published and shared scenes

Scenes are private by default and visible only to the workspace they are in. You can opt in to publishing a scene to a public URL of the form https://zindex.ai/d/<sceneId> from the dashboard or the playground, by setting visibility to public through the API, or with the diagram_share tool's publish action. Anyone with the URL (including search engines and AI crawlers) can then view the rendered scene and its source JSON.

A share link you create lets anyone who has it see the scene's images and the dates of its versions, but not its source JSON, until the link is revoked or the scene is deleted.

You are responsible for the content you publish or share with a link. Public scenes, and scenes shared with a link, must comply with Section 3 (acceptable use) and applicable law. Do not publish, or share with a link, content that contains personal data of others, confidential information you are not permitted to share, or material that infringes third-party rights.

Any visitor can report a public scene with the Report this diagram button on its page, and anyone who opens a share link can report the scene it shows the same way. Reports enter a moderation queue we review. If a public scene violates these terms or our hosted-content policies, we will make it private, which disables its public URL, revoke every share link to it, and email its creator the specific reason. If a scene that is shared only with a link does, we will revoke that link and email the specific reason to the person who made it, or, if they are no longer in the scene's workspace, to its owners; nothing else about the scene changes. The scene itself remains in its workspace; you can edit it and re-publish, or make a new share link, if you address the issue, or it stays private indefinitely. Takedowns are reversible, but a revoked share link can't come back: a new one needs a plan that includes share links. Serious or repeated violations may also lead to account action under Section 9 (termination).

6. Our content

The Zindex platform - the rendering engine, the API, the documentation, the website, the brand - is ours. The MCP package (@zindexai/mcp) is published under its declared license. The Diagram Scene Protocol specification and its JSON Schemas (github.com/zindexai/diagram-scene-protocol), and the Zindex agent skill and plugin manifests (github.com/zindexai/zindex), are published under the Apache License 2.0; that license, not these terms, governs them. Everything else is proprietary. You may use the service per these terms but you may not copy, modify, or distribute the platform itself.

7. Warranty disclaimer

The service is provided "as is" and "as available." We work hard to keep it reliable, but we don't promise it will be uninterrupted, error-free, or that every render will produce the result you expect. Use the platform on the understanding that diagram-rendering software has edge cases.

To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the maximum extent permitted by law, Zindex's total liability for any claim arising out of or relating to the service is limited to the greater of (a) the amount you paid Zindex in the 12 months before the claim arose, or (b) US$100. Neither party is liable for indirect, consequential, incidental, special, or punitive damages - including lost profits, lost data, or loss of business - except where such limitation is prohibited by law.

9. Termination

You may close your account at any time, except as Section 1 says for the last owner of a team workspace. We may suspend or close accounts that violate these terms or that pose a security or operational risk to the platform or other users, and we delete free accounts unused for 12 months (Section 1). On account closure - by either party - your data is deleted per Section 7 of the Privacy Policy. Content you saved in a team workspace stays with that workspace.

10. Changes

We may update these terms from time to time. Material changes will be announced via [email protected] with at least 15 days' advance notice. Continued use of the service after the change date constitutes acceptance.

11. Contact
